Wes is an associate in the tax group of Troutman Sanders’ Atlanta office. He joined the firm in 2005. His practice concentrates on federal income tax matters, including domestic and international tax planning and transactional work for corporations, partnerships and limited liability companies. He also defends clients in federal tax controversies and has represented clients before the IRS Office of Appeals.
Wes is an adjunct professor of Tax Law at Georgia State University Law School.
Representative Experience
Advised U.S. publicly traded corporation in an $8 billion “horizontal double dummy” transaction involving a Canadian publicly traded corporation and utilizing Canadian exchangeable shares
Sought and obtained an IRS private letter ruling for a privately held corporation regarding a corporate restructuring, which resulted in significant tax savings
Advised SPAC in an $80 million initial public offering
Advised numerous publicly traded corporations in transactions intended to qualify as reorganizations under Section 368 of the Code
Advised client regarding various tax issues in a $2 billion tender offer to shareholders of publicly traded corporation
Prepared tax opinion for a publicly traded utility company with respect to a $500 million hybrid securities issuance
Advised Bermudian publicly traded corporation providing insurance products in a $60 million public offering
Represented numerous clients in commercial transactions utilizing partnerships and limited liability companies, including a $100 million leveraged partnership transaction
Drafted numerous limited liability company operating agreements
Represented clients regarding matters before the IRS Office of Appeals and in U.S. Tax Court controversies
