Counsel to various plan sponsors and employee benefit trusts in matters relating to plan assets and asset management, tax, fiduciary, and contract matters; extensive work in reviewing and negotiating investment structures for alternative equity and real estate; tax and fiduciary issues involving company stock; issues involving trust and corporate owned life insurance.

Counsel to various individual and corporate clients in a number of IRS or DOL (ERISA) civil examinations or criminal investigations.

Counsel to an accident and health insurance company for over 25 years in connection with tax and employee benefit matters, including deferred compensation, employee/independent contractor issues, taxation of various insurance products.

Counsel to a publicly-traded bakery in connection with an IRS examination of the employment tax status of several thousand product distributors.

Counsel to a chain of physician-owned physical therapy centers; structured, reorganized and ultimately sold; primary issues were federal taxation and anti-fraud and abuse laws.

Counsel to a group of nursing homes in DOL investigation of a multiple employer health insurance arrangement; primary issues involved ERISA, federal taxation and Medicaid.

Counsel to various group self-insurance trust funds (worker’s compensation) in connection with issues of federal and state taxation
