Shelli has extensive experience in representing commercial lending institutions, including major regional and national banking institutions and life insurance companies, in the financing and management of commercial real estate, including construction, term, mezzanine and revolving loan facilities, loan syndications and participations, loan workouts, restructurings and refinancings, debtor-in-possession financing, foreclosures, and the leasing, management and sale of properties acquired through foreclosure. She also has experience in representing developers, purchasers, joint venture partners and associations in the acquisition, financing, development and sale of real property; in representing both landlords and tenants in office and retail leasing; and in assisting clients in the preparation of all variety of commercial real estate contracts and forms with the goal of reducing long-term transaction costs.

Representative Experience
Regional Counsel for the South Region for national bank for its Real Estate Managed Assets/workout and distressed debt matters, including loan restructures, forbearance agreements, workouts, bankruptcies, debtor-in-possession (“DIP”) financing, loan sales, short sales, remedy enforcement litigation, foreclosures, and management of sale of foreclosed OREO property.

Regular counsel to various national lenders, including banking organizations and life insurance companies, in connection with consummation and administration of real estate construction, term mezzanine and revolving loans, secured by properties located throughout the Southeast and other areas of the country, such as the following:

Counsel to national bank, as agent for itself and other lenders, in regard to syndicated construction financing in the aggregate amount of approximately $147 million secured by a multi-use facility located within air rights over a former brownfield site in Metro Atlanta.

Counsel to national bank, as agent for itself and other lenders, in regard to syndicated construction financing of high-rise multi-family rental properties with option for submission to condominium.

Counsel to national bank, as agent for itself and other lenders, in regard to syndicated revolving and term loan facilities for a REIT secured by office properties in numerous jurisdictions.

Regular counsel to national bank in the consummation of construction loans secured by properties located throughout the country, including industrial, office, retail, hotel, multi-family and congregate care living facility properties.

Counsel to mezzanine lender in construction loans secured by properties located throughout the Southeast.

Counsel to lender in the leasing, management, and sale (through individual and auction sales) of foreclosed real property and the preparation of form sales contracts and documentation for auction sales of foreclosed residential and commercial real property.

Counsel to purchaser in the joint venturing, acquisition, financing and management operations of numerous high-rise, mid-rise and suburban office facilities, including preparation of form leases and ongoing leasing representation of landlord. Counsel to purchaser in the joint venturing, acquisition, financing and development of a mid-rise office building in midtown Atlanta.

Counsel to Privatization Commission in connection with privatization through sale and lease of several public recreational facilities.

Counsel to lessee in connection with a concession lease at the Atlanta/Hartsfield International Airport and related subleases.
