Securities and Capital Markets in Asia

We have a strong capital markets practice in Asia focusing on public and private offerings of debt and equity securities. Our corporate finance team is among the most active in Hong Kong in terms of listings on The Stock Exchange of Hong Kong, Main Board and GEM Board, and in recent years our lawyers have been involved in the Hong Kong initial public offerings of more than 80 companies.  As we practice Hong Kong, English and U.S. law, we are also qualified to work on dual listings and other cross-border securities transactions, and we regularly advise clients with respect to ongoing compliance issues under Hong Kong and US securities laws and exchange requirements.  Our debt capital markets lawyers are recognized leaders in their field, particularly in the high yield, convertible and sovereign debt sectors, and have worked on a number of Asia’s largest and most significant debt capital markets financings in recent years.  

 

Lawyers in our Asia offices have held senior positions with the Listing Division of the Hong Kong Stock Exchange, and one of our lawyers is a former vice-chairman of the Securities and Futures Commission of Hong Kong.  They maintain relationships with a number of global securities houses, thereby helping clients to gain access to international audiences.  In addition, our firm has a long term, close relationship with many listed companies. We advise on their day-to-day regulatory compliance issues, and also provide legal services in relation to their financing and merger and acquisition transactions and cross-border investments.

  • Represented ICBC International Capital Limited on the US$80 million global IPO of Sundart International Holdings Limited on the Main Board of the Hong Kong Stock Exchange. 
  • Represented Deutsche Bank and JPMorgan on the US$465 million global IPO by Zhong An Real Estate Holdings, a leading PRC real estate developer, on the Main Board of the Hong Kong Stock Exchange.
  • Represented the Sunny Optical Technology (Group) Company Limited, a leading optical components manufacturer in the PRC, on its US$160 million global IPO on the Main Board of the Hong Kong Stock Exchange.  Before the IPO, we assisted the client on a highly sophisticated pre-IPO restructuring in China and offshore as well on pre-IPO private equity investments by Investor AB and Chengwei LLC.
  • Represented UBS on the US$600 million global IPO of Hidili Industry International Development Ltd., a PRC coal company, on the Main Board of the Hong Kong Stock Exchange.
  • Represented China National Materials Company Limited on its US$540 million global IPO on the Main Board of the Hong Kong Stock Exchange.
  • Represented Goldbond Capital (Asia) Limited, DBS Asia Capital Limited and Goldbond Securities Limited on the spin-off and US$125 million global IPO on the Main Board of the Hong Kong Stock Exchange of Global Sweeteners Holdings Limited.
