Maureen's practice is devoted primarily to the representation of developers, investors and users of commercial real estate, including the acquisition, financing, development, leasing and sale of shopping centers, office and industrial buildings and mixed use developments.

Maureen has extensive experience in the acquisition of land for large-scale retail, office and industrial development and in the preparation and negotiation of retail anchor tenant leases. She has extensive experience in the sale and acquisition and development of operating office, industrial and retail properties. She has extensive experience in the acquisition and ground leasing of property for a major fast food restaurant chain. Her experience also includes commercial real estate lending, preparation and negotiation of joint venture agreements, preparation and negotiation of development, property management and leasing agreements, and general corporate matters related to real estate transactions.

Representative Experience
Represented a public utility holding company and its renewable energy development subsidiary in the acquisition from a solar panel vendor of a 30MW solar project built in New Mexico. The representation included the structuring of a joint venture with a separate renewable energy company and drafting and negotiating the key agreements for the deal, including the EPC Agreement, O&M Agreement, real estate documentation and acquisition documentation.

Counsel to biomass gasification company in the acquisition of assets and entering into of a lease agreement and ancillary arrangements for the production of steam from biomass for industrial purposes.

Represented a national office/retail developer in the acquisition, development and leasing of “lifestyle centers” in Murfreesboro, Tennessee (811,000 square feet); Forsyth County, Georgia (600,000 square feet); Gwinnett County, Georgia (385,000 square feet); Collierville, Tennessee (787,000 square feet); Viera, Florida (405,000 square feet); West Cobb County, Georgia (205,000 square feet); East Cobb County, Georgia (225,000 square feet); and Peachtree City, Georgia (169,000 square feet).

Represented a national office/retail developer in the acquisition, development and leasing of “power centers” and “neighborhood centers” in Kansas City, Missouri (675,000 square feet); Mechanicsville, Hanover County, Virginia (281,400 square feet); Tuscaloosa, Alabama (62,000 square feet); Lawrenceville, Georgia (500,000 square feet); Snellville, Georgia (480,000 square feet); and Chesapeake, Virginia (486,000 square feet).

Represented developers and investors in the sale of shopping centers, including a 500,000 square foot shopping center in Lawrenceville, Georgia; a 447,000 square foot shopping center in Orlando, Florida; a 65,000 square foot shopping center in Cherokee County, Georgia; a 67,270 square foot shopping center in Newton County, Georgia; and a 72,000 square foot shopping center in Fulton County, Georgia.

Represented a national retailer in the acquisition and development of a 784,375 square foot distribution center in Savannah, Georgia and in the subsequent sale/leaseback of the distribution center.

Represented a national retailer in connection with acquiring a "build to suit" distribution center in Douglasville, Georgia.

Responsible for the real estate due diligence and development aspects of transactions pursued by a power generating company in connection with various renewable energy projects including wind, solar and biomass gasification projects.

Extensive experience representing a national quick-service restaurant operator in the acquisition and ground lease of hundreds of outparcels throughout the United States and the development of free-standing restaurant buildings on the sites.

Represented a national office/retail developer in the acquisition of two parcels of land in downtown San Francisco, California for the development of office buildings thereon and in the acquisition of an existing office building in the Buckhead/Lenox area of Atlanta, Georgia, together with an adjacent parcel of land, and the development of a 420,000 square foot office building thereon.

Represented a national office/retail developer in the formation of joint ventures with a national life insurance company and the conveyance to the first joint venture of assets totaling approximately $386,000,000.00 (1999) and to the second joint venture of assets totaling approximately $342,400,000 (2006).

Represented a private REIT in the acquisition and financing of a portfolio of industrial buildings totaling $52,000,000.00 in value; in the sale of raw land and industrial buildings throughout the metropolitan Atlanta, Georgia area; in the sale of raw land and office buildings within a + 1,000 acre mixed use development in Gwinnett County, Georgia; and in numerous creative tax-deferred exchange transactions.

Extensive experience representing developers in negotiating contracts, leases, operating agreements, easement agreements and development agreements with national retailers, including department stores, home improvement stores, discount department stores, bookstores, apparel retailers, electronic “superstores”, linen “superstores”, specialty coffee stores, grocery stores, furniture stores and numerous national and regional restaurant operators.

Represented an investor in the development of over 1,000 acres in Gwinnett County, Georgia into numerous residential subdivisions, including the sale of developed lots, the formation of homeowners associations and the imposition of development controls on the properties.
