Representative Experience
Acquisition of Beverly Enterprises, Inc. for $2.3 billion – Larry was the lead corporate lawyer and coordinated more than 100 Troutman Sanders attorneys in representing the purchaser of Beverly, a NYSE listed company with a portfolio of more than 350 skilled nursing and related health care facilities. This all cash merger included the purchase of Beverly’s owned real estate by a property holding company and the $1.3 billion securitized first mortgage financing of such purchase.

Acquisition of Mariner Health Care, Inc. for $1.3 billion - Larry was in charge of this acquisition mega project and supervised more than 50 attorneys. The project included the takeover of Mariner, a publicly traded company with a portfolio of more than 280 skilled nursing facilities and long-term acute care hospitals, in an all cash merger; a tender offer for Mariner's bonds; the purchase of Mariner's owned real estate by a property holding company and the $920,000,000 securitized first mortgage financing of such purchase; the $350,000,000 corporate financing of Mariner and other facility operators, regulatory clearances for change of control of the health care licenses, and development of sophisticated bankruptcy-remote "special purpose entity" structures in coordination with the lender's requirements.

Acquisition of Nortel Automated Directory Assistance Software Business Unit - Larry represented Volt Information Sciences, Inc. a $1.5 billion NYSE company, in its acquisition from Nortel Networks, Inc. of Nortel's Automated Directory Assistance software business unit, which, in addition to the basic acquisition, involved negotiation of complex technology cross-licensing and transition arrangement.

Represented Lifetime Brands, Inc., a NASDAQ Global Market company which is the premier designer and manufacturer of kitchenware, in its $65 million secondary public offering, $75 million Convertible Notes Offering, and $54 million acquisition of Syratech Corporation.

Acquisition of Israel Discount Bank – represented the purchasers in the acquisition of control of IDB, an international banking organization which owns Israel Discount Bank of New York, for approximately $300 million, including structuring the transaction and obtaining regulatory approvals from the Federal Reserve Board and the New York State Banking Department.

Michelin North America – represented Signal Software Corporation in negotiation of contract for development of tire dealer and tire management software system for 5,000 dealer network.

Sungard Data Systems – represented Financial Technologies, Inc., a leading provider of software and accounting systems to the private equity fund industry, in sale of business to Sungard.

US Dept of Defense – Larry represented clients in negotiating procurement contracts with the US Army Strategic Missile Defense Command and the Missile Defense Agency for advanced guidance software for Lockheed Martin Patriot (PAC-3) and Raytheon Standard missiles.

Railcar Fleet Procurement for AMTRAK, MTA and New Jersey Transit. - Larry represented a joint venture of a multi-national railcar manufacturer and a U.S. aerospace company in large scale procurements in excess of $250,000,000 each to supply passenger railcars to these transit operators. This project involved writing the strategic business proposals on behalf of the clients, negotiating the government procurement contracts, working with clients in development of technology and economic best and final offers, organizing and structuring the subcontracting teams to facilitate Buy America, Buy-New York, Minority Business Enterprise programs and customs and tax objectives, development of final assembly at a converted defense manufacturing base in coordination with local governments and the department of defense.

Metrotech Public/Private Development Project - Represented Polytechnic University in New York in the joint development of downtown Brooklyn with Forest City Ratner developers and the Port Authority of New York and New Jersey, including negotiation master development agreements as well as Port Authority financing.
