Representative Experience
Represents business owners and privately held, closely held, and publicly traded companies in general corporate matters, including mergers and acquisitions, joint ventures, partnerships and financing.
Experienced in drafting and negotiating stock and asset purchase agreements (for both buyers and sellers), letters of intent, shareholders’ agreements, LLC operating agreements, employment and confidentiality agreements, intellectual property license arrangements and endorsements.
Advises clients on the selection and formation of various business entities including corporations and limited liability companies.
Represents issuers and investors in a variety of securities and corporate finance transactions, including public and private offerings of debt and equity and venture capital investments.
Represents public companies in SEC reporting, corporate governance and compliance matters.
Advises on legal issues surrounding sports and marketing events (counsel to Chick-fil-A Bowl), and experienced in drafting related contracts including title sponsorship agreements, broadcast rights agreements, team/participant agreements and ancillary vendor and sponsor agreements.
Experienced in franchise law, representing franchisors and individual franchisees, including preparation of Franchise Disclosure Documents, compliance with FTC and state rules and drafting/negotiating franchise agreements and area development agreements.
Experienced in negotiating and resolving shareholder/partner disputes involving privately owned companies.
Counsel to business entities and individuals on matters regarding nonprofit corporations and charitable giving.
Experienced in formation and capital raising activities of "de novo" banks, the implementation of bank holding company structures, mergers and acquisitions and bank regulatory compliance matters.
