We have represented several Israeli companies in initial and secondary public offerings of their securities in the United States. We have also helped companies list their shares on the NASDAQ Stock Market, the New York Stock Exchange and the American Stock Exchange. Our team has introduced Israeli companies and entrepreneurs to U.S. investment banks, and we have provided counsel to various investment banks while they functioned as underwriters and placement agents in public or private offerings by Israeli companies.
We advise our Israeli public clients on an ongoing basis on compliance with applicable securities laws, including the Sarbanes-Oxley Act, periodic SEC filings and compliance with the applicable stock exchange rules. In connection therewith, we assisted clients with obtaining exemptions from listing standards, where possible. At times when the capital markets have been less favorable to Israeli and domestic companies, we assist public companies in going private and delisting from the relevant stock exchange.
