Han is a partner in Troutman Sanders’ Atlanta office who has been practicing in municipal finance for 14 years. He has closed over 175 public finance transactions including over twenty-five Georgia governmental bond issues serving as bond counsel, underwriter’s counsel, credit enhancer counsel, credit provider counsel, purchaser counsel, derivative products counsel, trustee’s counsel and borrower’s counsel in both governmental and private activity bond issues. He has developed expertise in variable rate transactions, involving letters of credit, auction rate securities and stand by bond purchase agreements. Han is also well versed in fixed rate, new money and refunding transactions.
Han’s clients are or have been DeKalb Medical Center, Wachovia/First Union National Bank, Citigroup/Salomon Smith Barney, Clayton County Water Authority, Gainesville School District, Charleston County School District (SC), and Hancock County, Georgia.
Han is active in the National Association of Bond Lawyers. He is also very active in the community and is a board member on the following boards: Atlanta Volunteer Lawyers Foundation, Atlanta Legal Diversity Consortium, Georgia Asian-Pacific Bar Association, Korean American Coalition, Georgia Center for Nonprofits and is a founding member of the Korean-American Professional Association. Han is conversant in Korean.
Representative Experience
Served as bond counsel for city of John’s Creek, Georgia for 2007 tax anticipation note transaction.
Served as underwriter’s counsel to major investment banking firms in connection with various financings for issues in upstate South Carolina for tax increment financing districts, water and sewer systems and parking facilities. These transactions involved liquidity facilities and auction rate bonds.
Served as letter of credit, underwriter, trustee’s and purchaser’s counsel to large commercial banks in various variable rate bond issues in excess of $500 million throughout the United States in the past three years.
Developed in part the variable rate bond forms currently in use by certain commercial banks and outside counsel for their tax-exempt and taxable bond transactions.
Served as bond counsel or credit enhancer counsel for several fixed rate and variable rate new money and refunding revenue anticipation certificates for large non-profit hospital. The variable rate transaction involved representing the credit enhancer as provider of a standby bond purchase agreement.
Served as bond counsel or underwriter’s counsel for innovative installment purchase financings in excess of $550 million for a large school district.
Served as bond and company counsel for non-profits for their exempt facilities financing.
Served as bond and underwriter’s counsel to counties and cities in Georgia in connection with financing and refinancing of bonds for various governmental purposes secured by sales tax and ad valorem tax pledges.
Served as bond and underwriter’s counsel in tax-exempt financings for water and sewer systems.
Served as credit enhancers counsel for several multi-family bond transactions.
