Greater China Practice Team
To meet the growing demands of our clients investing in Asia, including in energy projects and infrastructure development, Troutman Sanders established its Hong Kong office in 1997. We have grown in Hong Kong by selectively hiring top talent from other premier law firms in the market. In early 2007, we opened an office in Shanghai, further enhancing our presence in Asia. All lawyers on our Asia team are qualified in either Hong Kong, China or the United States and many are also qualified in multiple jurisdictions. Most members of our Asia team are bilingual or trilungual. Throughout the region, we work closely with our network of local lawyers.
In Asia, we assist corporate and institutional clients as well as government bodies and high net-worth individuals in a wide range of legal matters domestically and internationally. Examples of our lawyers’ transactional and regulatory experiences include the following:
- Structuring and implementing mergers and acquisitions
- Helping foreign companies identify opportunities to invest and set up operations in the Greater China and Asia, including large scale projects in sectors such as energy, mining and infrastructure
- Acting for international hotel operators, real estate developers, hotel owners, real estate funds, hospitality funds, investors as well as financial institutions on real estate and hotel projects in Greater China, Asia and worldwide
- Acting for international and local investment banks, financial advisers as well as issuers in listing of equity and debt of Chinese and Asian companies on the Stock Exchange of Hong Kong, the New York Stock Exchange, NASDAQ, AMEX, the Toronto Stock Exchange, the London Stock Exchange as well as the Singapore Stock Exchange, and advising on the issuers’ initial public offerings, secondary offerings, private placements (including US 144A offering), rights and warrant issues as well as other securities transactions.
- Advising Hong Kong listed companies as well as Asian controlled U.S. listed and Canadian listed companies on post-listing securities transactions, ongoing compliances, corporate governance, hostile and friendly take-overs and acquisitions.
- Advising Asian-based companies and funds on U.S. securities, tax and investment related laws and regulations
- Assisting Asian-based companies with their outbound investments, mergers and acquisitions in North America and Europe as well as their business expansion outside of Asia.
- Providing lobbying assistance to Asian clients to facilitate their outbound mergers and acquisition of U.S. businesses.
- Assisting Greater China and Asian-based companies in raising funds in Hong Kong, North America and Europe
- Assisting clients with various matters of international trade, including trade disputes and anti-dumping investigations, Section 337 investigations before the U.S. International Trade Commission, trade regulations, including member commitments under the WTO agreements, transportation and customs matters
- Acting for creditors or borrowers in secured lending and commercial banking matters
- Assisting clients in dealing with special investigations by the U.S. government authority, SEC and other regulatory bodies in respect of various U.S. laws and regulations such as the Foreign Corrupt Practices Act as well as other U.S. legislation related to securities, tax, anti-trust, and customs duties.
- Securing and protecting intellectual property rights in North America, Greater China and Asia and advising on registration of intellectual property rights in those jurisdictions.
- Advising financial intermediaries, investments funds, public companies’ directors and officers on Hong Kong securities licensing matters as well as on special investigations by the Securities and Futures Commission of
- Hong Kong and the Stock Exchange of Hong Kong.
- Assisting telecommunication and technology companies on telecommunications and technology licensing and corporate matters as well as joint ventures and acquisitions in Greater China and Asia.
- Advising on gaming and resort projects and financing in relation thereto.
