The Tax Group has substantial experience in planning, structuring and negotiating the tax aspects of all types of business transactions. Group attorneys regularly structure, implement and opine regarding mergers and acquisitions, corporate divisions, corporate finance transactions, and corporate reorganizations and recapitalizations. The Tax Group works closely with the Firm's corporate and securities attorneys in connection with the issuance of tax-exempt bonds. The Firm has served as bond counsel and as counsel to the issuer, the underwriter, the lender and the borrower. The Group has significant experience in structuring various types of real estate investments, joint ventures and exchanges, including low-income housing tax credit projects, real estate investment trusts and like-kind exchanges.
