Clayton is an associate at Troutman Sanders in the Corporate Practice Group.  His practice focuses on the representation of public and private companies in connection with mergers and acquisitions, security offerings, corporate governance and general corporate law.  He also focuses on the representation of private equity and venture capital funds in the acquisition, maintenance and divestiture of their portfolio companies and investments.

Clayton received his B.A. in Government and American Politics with a minor in Studio Art from the University of Virginia in 2000.  In 2006, he received his J.D. from University of Virginia School of Law.  Clayton also served as a law clerk to the legendary Honorable Glen M. Williams, United States District Court for the Western District of Virginia.

Represented a public chemical manufacturing company in connection with a $22 million acquisition of a public chemical manufacturing company.

Represented a public property holding company in the defense of two hostile tender offers from a real estate investment fund.

Represented a telecommunications company in the $30 million divestiture of a wireless telephone business and the $22.5 million divestiture of wireless telephone towers.

Represented a private equity fund in $15.5 million acquisition of a footwear and apparel company.

Represented a private equity fund in a $7.5 million venture capital investment in an information technology company.

Represented a portfolio company in a $5 million venture capital investment in an internet marketing company.

Represented a private investment services company in the formation of the company and its $9.5 million capitalization.

Represented a medical technology company in the acquisition of an Italian medical technology and supply company through Dutch companies.

Represented various doctor practices in the admission and buy-in of new doctors.
