Edward J. Epstein

Olivia Lee

Released on September 9, 2008 and effective as of the same date

The most significant items in these measures designed to promote better enterprise regulation in Jiangsu include the following:

· Apart from capital contributions of non-monetary properties such as intellectual property rights, in-kind contribution and land use rights, investors in Jiangsu may also make capital contributions to limited and joint-stock limited companies with equities;

· Contributions of non-monetary properties may not exceed 70 percent of a company's registered capital. When a company increases its registered capital, the proportion of the increased registered capital by means of non-monetary properties is without limitation;

· JAIC may also accept pledges of equity or property mortgages when considering the financial structure of companies in Jiangsu.
